Postępowanie upadłościowe jak każde z postępowań sądowych, może zostać wszczęte tylko i wyłącznie wtedy, gdy spełnione zostaną pewne określone przez prawo okoliczności, nazywane przesłankami. Tradycyjnie przesłanki te dzielą się na merytoryczne, wynikające z prawa materialnego oraz na formalne czyli procesowe. Przesłanki wszczęcia postępowania upadłościowego w polskim prawie uregulowane są kompleksowo w ustawie prawo upadłościowe i naprawcze. Wyodrębnić można 4 przesłanki materialne - stan niewypłacalności i zdolność upadłościową dłużnika, posiadanie przez podmiot składający wniosek o upadłość legitymację do złożenia takiego pisma, oraz istnienie wystarczającego majątku dłużnika na pokrycie kosztów postępowania. Do przesłanek formalnych zalicza się natomiast właściwość rzeczową i miejscową sądu upadłościowego, jurysdykcję tego sądu oraz same wymogi formalne wniosku o wszczęcie postępowania upadłościowego.

The bankruptcy proceedings, just as any other legal proceedings may be commenced only when all of the circumstances, that are set forth by law, are fulfilled. In accordance with the legal doctrine, these legal circumstances are called the legal premises or prerequisites and may be classified into substantive and procedural premises. The legal prerequisites that must be fulfilled in order to initiate the bankruptcy proceedings in Polish law, are comprehensively established in the bankruptcy and reorganization legal act and it is possible to distinct 4 substantive premises i.e.: insolvency of the debtor; his ability to proclaim his bankruptcy; capacity of the party who is filing the motion to initiate the bankruptcy proceedings to file such application and the existence of the sufficient assets of the debtor, to cover the costs of the proceedings. Whereas, the procedural premises are: material and local competency of the bankruptcy court; the jurisdiction of that court and also the formal requirements of the application to initiate the bankruptcy proceedings.
