The status of a board member in a limited liability partnership

Zarząd spółki partnerskiej jest jedną z bardziej kontrowersyjnych instytucji polskiego prawa handlowego. Ustawodawca nie rozwiązuje sporu co do ewentualnego ujęcia zarządu jako organu spółki, za czym opowiada się część doktryny. Ten kontrowersyjny pogląd przeciwstawiany jest ujęciu zarządu jako quasi - organu, odmiennego od typowego dla spółek kapitałowych. Z takiej problematyki wynika status członka zarządu spółki osobowej. Włączenie do spółki osób spoza grona wspólników, którzy mają wpływ na jej działalność, budzi liczne kontrowersje. Na tej podstawie częstokroć neguje się możliwość całkowitego obsadzenia zarządu osobami spoza grona wspólników, czy nawet uregulowanie statusu członków zarządu w sposób nieuprzywilejowany. One of the most controversial institutions of Polish commercial law is the management board of the limited liability partnership. However, the legislator does not resolve the dispute regarding the management as a corporate body. The controversial idea, represented by a part of the doctrine is in opposition to the board as an institution different from typical companies. Such problems show the status of members of the board of a partnership. Including into the company some people from outside the shareholders, who have an impact on its operations, raises numerous controversies. On this basis the possibility of filling the board with people outside the shareholders may be regulated differently, or even be regulated in an unprivileged way. The dispute pending in the doctrine has a direct impact on the practical application of these institutions, as well as the court's decisions concerning registration of the partnership that may differ.
