The right to give binding instructions in the light of the European Model Company Act and the proposal of the Forum Europaeum on Company Groups

Prawo zgrupowań w Polsce pozostaje materią nieuregulowaną ustawowo, o czym przesądził upadek projektu Ministerstwa Gospodarki, jak i projektu Komisji Kodyfikacyjnej Prawa Cywilnego. Na arenie europejskiej toczy się jednak ożywiona dyskusja na temat sposobu uregulowania działania grup spółek, która doprowadziła do sformułowania dwóch nowych propozycji regulacji tej problematyki. Pierwszą jest europejska ustawa modelowa o spółkach, drugą - inicjatywa Forum Europaeum on Company Groups, które to grono przedstawiło propozycję ułatwienia zarządzania transgranicznymi grupami spółek w Europie. Oba dokumenty stanowią niewiążące inicjatywy prywatnych grup eksperckich. Mogą one jednak stanowić inspirację do zainicjowania rozwiązań ustawodawczych w tym zakresie. Jest tak tym bardziej, że rozwiązania w nich przedstawione ogniskują się wokół tzw. doktryny Rozenblum, która jest akceptowana przez większość przedstawicieli polskiej doktryny. Analiza instytucji wiążących poleceń, które przewidują oba akty, pozwoli rozstrzygnąć o przydatności tej konstrukcji dla regulacji stosunków w ramach zgrupowania.

The issues concerning law on groups of companies in Poland remain unaddressed by legislative action. This is due to the fact that proposed regulations by the Ministry of Economy as well as by the Civil Law Codification Committee were rejected. There is, however, a vivid European discussion regarding the manner in which the activities of groups should be tackled. This discussion led to the formulation of two initiatives. The first is the European Model Company Act. The second is the proposal by the Forum Europaeum on Company Groups to facilitate the management of crossborder company groups in Europe. Both initiatives consist of non-binding solutions prepared by experts. They may, however, inspire legislative action, since the approach taken both by EMCA and the proposal, revolves around the Rosenblum doctrine, which is accepted by the majority of Polish authorities in the field of company law. Examining the institution of binding instructions proposed by both instruments will allow to determine the practicality of such a solution to regulate the relations within the group.
