The concept of corporate secret and its protection in Polish court proceedings in the light of the new directive of the European Parliament and of the Council (EU) 2016/943 of 8 June 2016

Celem niniejszego artykułu jest próba ukazania przez autorów w jaki sposób nowa unijna dyrektywa 2016/943 z dnia 8 czerwca 2016 r. wpłynie na polską regulację w zakresie ochrony prawnej dysponenta niejawnego know-how i tajemnicy przedsiębiorstwa. Na samym początku zostanie omówiona problematyka charakteru prawnego aktu jakim jest dyrektywa. Zaznaczone zostaną konsekwencje braku jej implementacji do porządku krajowego. Następnie autorzy przedstawią tło i motywy powstania dyrektywy. Poruszone zostaną największe i najważniejsze różnice w rozumieniu podstawowych pojęć dla tej problematyki prawnej, takich jak np. tajemnica przedsiębiorstwa. Opisane zostaną również środki, które mają służyć ochronie opisanych dóbr w toku postępowania sądowego. Na sam koniec autorzy postarają się odpowiedzieć na pytanie, czy prognozowane zmiany będą korzystne dla polskich przedsiębiorców oraz w jakim zakresie polski ustawodawca będzie zobligowany dokonać nowelizacji.

The purpose of this article is to show how the new EU directive 2016/943 of 8 June 2016 will affect the Polish regulations in the field of legal protection that disposer of secret know-how and business secrets has. At the beginning the authors will discuss character of the directive as a legal act and the consequences of lack of it's implementation to the national legal system. Then the authors present backgrounds and motives of creating this directive. They will emphasize the biggest and the most important differences in understanding of the basic concepts for this legal issue, such as business secret. Described are also measures that are intended to serve the protection of the described goods. At the end the authors will try to answer the question of whether the predicted changes will be beneficial to Polish entrepreneurs or not and how the Polish legislative is obliged to amendt regulations due to aforementioned directive.
