The regulation of the irregular commercial power of attorney in the Polish Civil Code and the importance of legal consequences connected with that regulation

Niniejszy wywód ma na celu analizę zasadności i potrzeby uregulowania instytucji prokury łącznej niewłaściwej w kodeksie cywilnym. Przedmiotem dyskursu jest także ocena skutków prawnych związanych z decyzją prawodawcy, który wprowadził do polskiego porządku prawnego instytucję prokury łącznej niewłaściwej. Ten rodzaj prokury został wbudowany do k.c. przez ustawodawcę w art. 1094 § 11 k.c. Dodanie przedmiotowego przepisu do k.c. jest skutkiem dość nieoczekiwanej zmiany utrwalonego orzecznictwa SN w tym zakresie, bowiem SN rozstrzygnął, że nie jest możliwe ustanowienie prokury łącznej niewłaściwej.

The purpose of this thesis is to analyze the validity and the necessity of added provision to the civil code connected with an irregular commercial power of attorney. Another purpose of this thesis is to assess legal effects of the legislator's decision who passed the institution of an irregular commercial power of attorney to the civil code. This kind of a commercial power of attorney was implemented in art. 109 4 §11 of the civil code. The main reason of adding the new provision in art. 109 4 §11 was the controversial sentence of The Supreme Court stated that there is no possibility of establishing the sole power of representation whose holder is authorized to represent the company, though not alone, but jointly with a member of the management board.
