The issue of the impact of the change of circumstances on parties' contractual obligations under art. 357 (1) of the Polish Civil Code

Celem niniejszego artykułu jest przedstawienie problemu wpływu zmiany okoliczności na zobowiązania kontraktowe stron w kontekście klauzuli rebus sic stantibus. W związku z coraz większą dynamiką stosunków gospodarczo-prawnych instytucja ta, zawarta w art. 357 (1) k.c., stanowi od lat źródło wielu kontrowersji i wątpliwości o charakterze interpretacyjnym. Praca przedstawia przede wszystkim podstawowe problemy polskiej regulacji - szczegółowej analizie poddane są przede wszystkim wątpliwości interpretacyjne dotyczące poszczególnych przesłanek stosowania art. 357 (1) k.c., a także środki dostępne dla stron w przypadku uruchomienia instytucji rebus sic stantibus. Artykuł stanowi także ostrożną próbę uchwycenia kierunku zmiany, w którym w przyszłości podążyć może polski ustawodawca odnośnie konstrukcji klauzuli rebus sic stantibus.

The aim of this article is to present the issue of the influence of the substantial change of circumstances on the parties' obligation to the contractual agreements. In Poland, this so-called "rebus sic stantibus clause" (governed by the article 357 (1) of the Polish Civil Code) which is believed to be not flexible enough to follow the needs of the dynamics of the global economic turnover and also importantly, the certainty of trade. Therefore it has become a source ambiguity which has led to various interpretation issues. The article's aim is to thoroughly analyze the basic problems of Polish regulation. The detailed analysis is subject primarily to interpretation doubts concerning individual conditions of application of art. 357 (1) PCC, as well as the particular legal tools available to the parties. The article is also a cautious attempt to capture the direction of change, which in the future may be followed by the Polish legislator regarding the new construction of the rebus sic stantibus clause.
