Good practice and the comply or explain rule in the light of EU regulations and the newest Good Practice of Companies listed at the Warsaw Stock Exchange

Artykuł odnosi się do instytucji kodeksów dobrych praktyk oraz do zasady comply or explain, na której się opierają. Szczególny nacisk położony został na unijne prawo miękkie, które wyznacza aktualne kierunki rozwoju korporacyjnego w państwach członkowskich. Dla lepszego zrozumienia złożoności problematyki zbiorów dobrych praktyk spółek publicznych w artykule zawarto również ogólny fragment, dotyczący różnic w poszczególnych systemach corporate govenrance, różnice te stanowią bowiem spore wyzwanie z perspektywy tworzenia jednolitych wymagań wspólnotowych wobec spółek publicznych. Wreszcie, w artykule zawarto krótki komentarz, dotyczący Dobrych Praktyk Spółek Notowanych na GPW, obowiązujących od 2016 r. oraz przykłady, pokazujące, jak polskie spółki publiczne radzą sobie ze sprawozdaniami, opartymi na zasadzie comply or explain. Artykuł ma na celu zbadanie kondycji polskich Dobrych Praktyk na tle wzorców unijnych oraz ich krytykę.

This article refers to codes of good practice and to their main rule - comply or explain. In this article emphasis was put on regulations of EU soft law due to their impact on current directions of corporate development in Member States. For a better understanding of the complexity of the issues related to codes of good practice, the article also contains a part that refers to the differences between particular corporate governance systems. These differences pose a big challenge, considering the creation of community requirements for public companies. Finally, the article contains a short commentary on the newest Good Practice of Companies listed at the Warsaw Stock Exchange and also there are a few examples of Polish public companies' reports based on the comply or explain rule. The purpose of this article is to examine and review the condition of Polish Good Practice as compared to EU patterns.
