The uncompleted businesses of a general partnership after its crossing out from the register from a perspective of the duties of its associates

Poniższy artykuł odnosi się do wybranych problemów, jakie pojawiają się po wykreśleniu spółki jawnej z rejestru. Przede wszystkim na gruncie przepisów Kodeksu spółek handlowych została rozważona odpowiedzialność byłych wspólników względem niezaspokojonych wierzycieli spółki już po utracie przez spółkę bytu prawnego czy to w procesie likwidacji czy innym uzgodnionym przez wspólników. Odniesiono się również do możliwości nadawania wyrokom zapadłym przeciwko spółce klauzuli wykonalności przeciwko jej wspólnikom już po wykreśleniu spółki z KRS. Skoncentrowano się przede wszystkim na analizie pozycji wierzycieli oraz byłych wspólników spółki w kontekście orzeczeń sądowych oraz poglądów doktryny. Biorąc pod uwagę brak regulacji tego problemu w Kodeksie spółek handlowych zaproponowano również rozważenie wprowadzenia de lege ferenda przepisów, które w sposób jednoznaczny regulowałyby powyższe problemy.

This article addresses the problems and confusions which appear after the deletion of a general partnership from the register. First of all this article describes the responsibility of a former partner with regard to creditors of the general partnership after the crossing out of the partnership from the register. After that the writ of execution against the shareholder is analyzed. The author focuses primarily on analyzing the position of the former partners and of the creditors, in the context of the judgments and resolutions of the Supreme Court. Those matters are not fully regulated in the Commercial Companies Code and there is no uniform view of them among legal scholars. This article proposes to consider the introduction of new legislation which could resolve the existing doubts.
