Legal standards of investments in startups, with special emphasis on contractual provisions concerning the liability of founders

Celem niniejszej pracy jest rozważenie istoty przedsiębiorstw typu startup, a także standardów prawnych inwestycji w startupy. Całość pracy składa się z trzech części. Pierwszy rozdział poświęcony jest definicji startupu, typowym dla startupów sposobom prowadzenia działalności gospodarczej oraz analizie przypadku potencjalnego uznania umowy wspólników (ang. founders agreement) za dorozumianą umowę spółki cywilnej. Rozdział drugi zawiera przegląd wybranych klauzul umownych, które wprowadzane są do umów inwestycyjnych celem sprecyzowania warunków współpracy inwestora i wspólników-założycieli. W trzecim rozdziale zawarte są pogłębione rozważania dotyczące szczególnego rodzaju postanowień umów inwestycyjnych dotyczących odpowiedzialności wspólników-założycieli, w szczególności rozważona została kwestia zapewnień i gwarancji, a także ograniczeń odpowiedzialności opartych o umowne klauzule basket. Praca powstała w oparciu o badania wzorów umów inwestycyjnych oraz postanowień term sheet stosowanych przez polskie fundusze typu Venture Capital, dysponującymi kapitałem prywatnym lub publiczno-prywatnym, analizę literatury, źródła internetowe, a także wywiady z ekspertami branżowymi przeprowadzone w okresie od stycznia do czerwca 2023 roku.

The purpose of this thesis is to consider the nature of startup companies, as well as the legal standards of investments in startups. The entire work consists of three parts. The first chapter is devoted to the definition of a startup, common models of conducting business by startups, and a case study of the possible classification of a founders agreement as an implied partnership agreement.. The second chapter provides an overview of selected contractual clauses that are included in investment agreements, the inclusion of which is motivated by the need to accurately define the terms of cooperation between the investors and founders. The third chapter contains an in-depth consideration of the investment agreement’s provisions regarding the liability of founders, in particular the representations and warranties, as well as limitations of liability based on the basket clause. The thesis is prepared based on the research of templates of investment agreements and term sheets used by Polish venture capital funds with private or public-private capital, literature analysis, online sources, and interviews with industry experts conducted between January and June 2023.
