Impact of the Enacment of the Civil Code and other Specific Regulations on Shaping Foreign Direct Investment Trends in China

Praca koncentruje się na wykazaniu kluczowych zmian na rynku bezpośrednich inwestycji zagranicznych, które zostały spowodowane uchwaleniem kodeksu cywilnego i innych regulacji szczególnych w Chinach. W związku z tym, głównym celem pracy jest kompleksowa analiza zróżnicowanych uwarunkowań i wskaźników ilościowych z różnych lat, które przedstawiają obecną sytuację na chińskim rynku inwestycyjnym w powiązaniu z wprowadzonymi zmianami do krajowego systemu prawa. W pierwszej części pracy analizie zostały poddane historyczne uwarunkowania rozwoju prawa w Chinach z uwzględnieniem kontekstu kulturowego, zakres nowych regulacji prawnych oraz kształtowanie trendów bezpośrednich inwestycji zagranicznych na przestrzeni lat. W odniesieniu do pierwszego zagadnienia istotne znaczenie odegrały takie kwestie jak: cechy klasycznego prawa chińskiego w świetle specyfiki norm społecznych, początek prawa u schyłku dynastii Qing, charakterystyka ery Kuomintangu i rządów Mao Zedonga oraz nowoczesne regulacje chińskiego prawa cywilnego. Druga część pracy skupia się z kolei na nowych regulacjach prawnych w Chinach na tle uregulowań poprzednich. Szczegółowej analizie zostały poddane zmiany wprowadzone przez kodeks cywilny, zmiany w prawie spółek handlowych i inwestycji zagranicznych, prawo znaków towarowych. Ostatnia część pracy natomiast ma na celu przedstawienie trendów bezpośrednich inwestycji zagranicznych w Chinach w okresie 2015-2022, gdzie największe znaczenie miała analiza raportów Konferencji Narodów Zjednoczonych ds. Handlu i Rozwoju, prezentująca dynamikę rozwoju rynku inwestycyjnego nie tylko w Chinach, ale także w całym regionie azjatyckim.

The thesis focuses on demonstrating the key changes in the foreign direct investment market brought about by the enactment of the Civil Code and other special regulations in China. Accordingly, the main objective of the thesis is to comprehensively analyse the varied conditions and quantitative indicators from different years that depict the current situation in the Chinese investment market in relation to the changes made to the national legal system. In the first part of the thesis, the historical background of the development of law in China with consideration of the cultural context, the scope of new legal regulations and the formation of foreign direct investment trends over the years are analysed. With regard to the first issue, issues such as the features of classical Chinese law in the light of specific social norms, the beginning of the law at the end of the Qing dynasty, the characteristics of the Kuomintang era and Mao Zedong's rule, and the modern regulation of Chinese civil law played an important role. The second part of the thesis focuses, in turn, on the new legal regulations in China against the background of previous regulations. The changes introduced by the Civil Code, amendments to the Commercial Companies Law and Foreign Investment Law, the Trade Mark Law are analysed in detail. The last part of the thesis, on the other hand, aims to present the trends of foreign direct investment in China in the period 2015-2022, where the analysis of the reports of the United Nations Conference on Trade and Development, presenting the dynamics of the development of the investment market not only in China, but also in the whole Asian region, was of the greatest importance.
