The aim of the paper is to determine premises for the analysis of the relationship between human capital in an enterprise and organizational learning. The paper presents selected conceptualizations of these phenomena. Valuable human capital is the one that enables a company to implement strategies improving organizational performance and economic efficiency; and use market opportunity or neutralize potential threats. Organizational learning plays a major role in forming human capital. It is a medium to acquire competencies which are a source of competitive advantage. A learning process within a company can prove crucial to its survival. Based on the study of theory; dimensions of human capital and organizational learning may be proposed. The featured dimensions constitute the research field for the analysis of the relationship between them.
