Stock exchange protection mechanisms against insider trading

Praca obejmuje szereg zagadnień związanych z zastosowaniem mechanizmów prawnych mających chronić rynek giełdowy przed insider trading. Przedstawiona zostaje problematyka informacji poufnej oraz wykorzystywania informacji poufnej. Ponadto, dokonano opisu prewencyjnych mechanizmów prawnych chroniących rynek giełdowy tj. list insiderów, okresów zamkniętych, obowiązków notyfikacyjnych oraz "chińskich murów". W kolejnej części pracy nacisk położono na opis mechanizmów represyjnych tj. sankcji administracyjnych i karnych oraz przedstawiono jak zjawisko insider trading jest zwalczane za pomocą tych sankcji w praktyce KNF oraz prokuratury i sądów.

The work includes a number of issues associated with the use of legal mechanisms to protect stock market against insider trading. Presented is the issue of inside information and the misuse of inside information. Moreover, the work involves the describtion of preventive legal mechanisms to protect the stock market such as: lists of insiders, closed periods, notification obligations and "Chinese walls". In the next part of the paper emphasis was put on the description of repressive mechanisms such as administrative and criminal sanctions. The work shows how the phenomenon of insider trading is controlled by those sanctions, in practice of the Financial Supervision Authority, the prosecutor's office and the courts.
