Umowa franchisingu w świetle prawa konkurencji Unii Europejskiej

Praca niniejsza skupia się w swojej istocie na przedstawieniu podejścia europejskiego prawa konkurencji do porozumień wertykalnych, ze szczególnym uwzględnieniem umowy franchisingu. Umowy franchisingu są jedną z metod tworzenia sieci dystrybucyjnych. Jej stronami są franchisodawca, który udostępnia pakiet praw własności intelektualnej i know-how, a także ciągłą pomoc dla franchisobiorcy, który płaci w zamian za to stosowną opłatę. W pierwszym rozdziale mojej pracy skupiam się na ogólnych regułach rządzących europejskim prawem konkurencji. Rozważania dotyczą w głównej mierze problematyki porozumień ograniczających konkurencję i nadużywania pozycji dominującej. Drugi rozdział przedstawia rozwój podejścia europejskiego prawa konkurencji względem umów franchisingu. Główna uwaga poświęcona jest rozporządzeniom dotyczącym stosowania art. 101 ust. 3 TFUE do porozumień wertykalnych, a w szczególności rozporządzeniu 330/2010. Trzeci rozdział skupia się na najczęściej spotykanych klauzulach zawartych w umowach franchisingu oraz ich zgodności z europejskim prawem konkurencji. W ostatnim rozdziale przedstawiam inne typowe porozumienia dystrybucyjne, ich wady i zalety oraz podejście prezentowane względem nich w europejskim prawie konkurencji. Staram się również opisać najważniejsze podobieństwa i różnice pomiędzy tymi systemami a franchisingiem.
My master thesis focuses on the presentation of the approach of European Community competition law respecting vertical agreements, with particular emphasis on franchise agreements. Franchise agreements are one of the methods of establishing of distribution networks. In franchise agreements, one of the parties, the franchisor, provides a package of intellectual property rights and know-how and continuous assistance to the franchisee, who pays a fee in exchange for mentioned above package. In the first chapter of my work I focus on the general rules in the European Community competition law. The matters under consideration are mainly restrictive agreements and abuses of dominant position. The second chapter presents the development of the approach of European Community competition law towards franchise agreements. Main attention is paid to the Regulation 330/2010, which concern the application of article 101(3) TFUE to vertical agreements. The third chapter focuses on the most common clauses contained in franchise agreements and their compliance with European Community competition law. The last chapter shows another typical distribution agreements, their advantages and disadvantages, and the approach to them in the European Community competition law. I also try to describe the main similarities and differences between these systems and franchise system.
