Contractual right of pre-emption

Przedmiotem niniejszej pracy jest prawo pierwokupu wynikające z czynności prawnej. Prawo pierwokupu uregulowane zostało w art. 596 – 602 k.c. Wskazane artykuły określają strony tego stosunku jako zobowiązanego oraz uprawnionego (choć w istocie nie jest to typowy stosunek zobowiązaniowy). Prawo pierwokupu zapewnia określonemu podmiotowi pierwszeństwo kupna w przypadku, gdyby określona rzecz stała się przedmiotem sprzedaży osobie trzeciej. W niniejszej pracy zostały omówione najważniejsze kwestie związane z opisywanym prawem, w szczególności: charakter prawa pierwokupu, sposób jego zastrzeżenia, wykonanie pierwokupu oraz jego ochrona, a także skutki ujawnienia prawa pierwokupu w księdze wieczystej.

The subject of the work is the right of preemption based on the legal action. The right of pre-emption is regulated in art. 596 - 602 Polish Code Civile. The articles mentioned above define the parties to this relationship as obliged and entitled (although in reality this is not a typical commitment relationship). Pre-emptive right gives a particular entity a priority of purchase if a particular item has been sold to a third party. In this work, the most important issues related to the law are discussed, in particular: the nature of the pre-emption right, the manner of its objection, pre-emptive execution and it’s protection, and the effects of disclosure of the right of pre-emption in the land register.
