Marital community of property and status of a partner's spouse in commercial companies

Przedmiot niniejszej pracy koncentruje się na ustaleniu statusu współmałżonka wspólnika w spółkach prawa handlowego. Głównym celem jest przedstawienie rozbieżności interpretacyjnych powstałych w związku z tym problemem i zajęcie właściwego stanowiska. Główna problematyka opracowania opiera się na ustaleniu do którego z majątków przynależą udziały oraz komu przysługuje tytuł wspólnika, jeśli czynności prawnej dokonał jeden z małżonków, a wkład wniesiony do spółki pochodził z majątku wspólnego. W piśmiennictwie zarysowały się trzy podstawowe stanowiska dotyczące tak zarysowanego problemu, oraz ich modyfikacje, które zostaną poddane analizie i ocenie. Kolejno ustalony zostanie status prawny współmałżonka wspólnika w tym sensie, że rozstrzygnięte zostanie czy w takiej sytuacji stanie się on członkiem spółki. Ustalić należy również jego ewentualne uprawnienia i ich zakres.Analiza przedmiotowego zagadnienia rozpoczyna się od objaśnienia zagadnień wstępnych, które pomogą Czytelnikowi zrozumienie tak określonego problemu. Kolejno omówiona zostanie sytuacja prawna współmałżonka wspólnika w kontekście wzajemnej relacji poszczególnych norm prawa. Analiza przeprowadzona zostanie najpierw dla spółek osobowych, a później spółek kapitałowych. Ostatecznie przedstawiona zostanie odpowiedzialność związana z członkostwem w spółce handlowej, którą objęci zostają małżonkowie. W kontekście celu opracowania najważniejszym zagadnieniem pozostanie jednak ogólne ustalenie statusu współmałżonka wspólnika w spółkach prawa handlowego.

The subject of this paper focuses on determining the status of a partner's spouse in in commercial companies. The main objective is to present the discrepancies in interpretation that have arisen in connection with this problem and to take a proper position. The main problem of the study is to determine to which property the shares belong and who is entitled to the title of partner, if the legal transaction was made by one of the spouses and the contribution to the company came from joint property. The literature has outlined three basic positions on the problem thus outlined, and their modifications, which will be analyzed and evaluated. Subsequently, the legal status of the spouse of the partner will be determined in the sense of deciding whether, in such a situation, he or she will be able to acquire the title of member of the company. It is also necessary to determine his or her possible rights and their scope.The analysis of this issue begins with an explanation of preliminary issues that will help the Reader to understand the problem so defined. Subsequently, the legal situation of the spouse of a partner will be discussed in the context of the mutual relation of particular legal norms. The analysis will be carried out first for partnerships and then for capital companies. Finally, the liability related to the membership in a commercial company, which is covered by spouses, will be presented. However, in the context of the aim of the study the most important issue will remain the general determination of the status of a partner's spouse in commercial companies.
