Pricing of a limited partnership company in a condition of embezzlement – a case study

Celem niniejszej pracy było ukazanie wyceny spółki komandytowej w warunkach malwersacji ze strony wspólnika wiekszościowego będącego komplementariuszem.W części teoretycznej omawiano kluczowe zagadnienia, takie jak metody wyceny przedsiębiorstw, specyfikę spółki komandytowej a także oszustwa finansowe w działalności gospodarczej. W części badawczej zaprezentowano studium przypadku wybranej firmy, metodykę działań oraz wyniki tychże badań. Analizę poprzedzono weryfikacją tezy o malwersacji poprzez badanie kondycji finansowej firmy wraz z podmiotami powiązanymi oraz porównaniem ich z konkurencją. Sama wycena dokonana została metodą porównawczą. Badania zostały przeprowadzone z perspektywy komandytariusza, pragnącego sprzedać udziały mniejszościowe.

The aim of the thesis was to present a pricing of a limited partnership company in a condition of embezzlement committed by a majority shareholder who was a general partner. In the theoretical part key issues such as methods of pricing of companies, the specificity of limited partnership and embezzlement in economic activity have been discussed. In the research part a case study of a chosen company has been presented together with methodology that was used and the results that were found. The analysis is preceded by a verification of an embezzlement argument based on research on the financial condition of the company together with its related entities and a comparison between them and their competitors. The evaluation itself was made using a comparative method. The research was made from the perspective of a limited partner who wanted to sell their minority shares.
