Spółka akcyjna stanowi jedną z podstawowych form prawnych prowadzenia działalności gospodarczej, bez której trudno sobie wyobrazić funkcjonowanie współczesnej gospodarki rynkowej. Niniejsza praca magisterska została poświęcona jednej z kluczowych instytucji związanych z funkcjonowaniem spółek akcyjnych, jaką jest akcja w znaczeniu papieru wartościowego. Celem pracy magisterskiej jest omówienie najważniejszych zagadnień związanych z akcją w znaczeniu papieru wartościowego. W rozdziałach pierwszym i drugim zostało zawarte krótkie wprowadzenie do problematyki papierów wartościowych oraz omówienie znaczeń, jakie przypisywane są pojęciu "akcja" przez ustawodawcę i doktrynę. W kolejnych rozdziałach zostały omówione charakterystyczne cechy akcji jako papieru wartościowego, proces powstawania akcji ze szczególnym uwzględnieniem roszczenia akcjonariusza o wydanie dokumentu akcji, forma i treść dokumentu akcji, zasada zbywalnści akcji i jej ograniczenia oraz regulacje związane z przenoszeniem akcji, funkcja legitymacyjna akcji oraz problematyka związana z umorzeniem i unieważnieniem dokumentu akcji.

A joint-stock company is one of the basic legal forms of business activity. It is hard to imagine that modern market economy could function properly without joint-stock companies. This master thesis is devoted to one of the key institutions related to the functioning of joint-stock companies, which is a share in the meaning of a security. The aim of the master thesis is to review the most important issues related to the share in the meaning of a security. The first and second chapters of the master thesis contain a brief introduction to the issue of securities and a review of the meanings which are ascribed to the term "share" by the legislator and the doctrine. The next chapters contain a review of characteristics of a share as a security, the process of creating a share with emphasize on a shareholder's claim for the release to him of the share certificate, the form and content of the share certificate, the principle of transferability of shares and its limitations, regulations related to the transfer of shares, legitimative function of shares and issues connected with cancellation and invalidation of share certificates.
