Przedmiotem rozważań niniejszej pracy jest charakterystyka pozanormatywnej regulacji corporate governance, jaką są kodeksy dobrych praktyk, na przykładzie obowiązujących w Polsce „Dobrych praktyk spółek notowanych na GPW”. Poczynione w tym zakresie uwagi posłużą odpowiedzi na pytanie dotyczące rzeczywistej praktycznej doniosłości tego typu unormowań dla regulacji problematyki corporate governance. Praca składa się z siedmiu rozdziałów. W rozdziale pierwszym pracy poczynione zostały uwagi ogólne dotyczące zjawisk objętych pojęciem corporate governance oraz ich teoretycznej podstawy, jaką jest teoria agencji. W rozdziale drugim dokonano poglądowego przeglądu źródeł regulacji problematyki corporate governance w celu ustalenia, jakie miejsce zajmują wśród nich kodeksy dobrych praktyk o pozanormatywnym charakterze. W rozdziale trzecim zaprezentowano definicje kodeksów dobrych praktyk oraz omówione zostały ich funkcje. Zaprezentowana została także analiza badań empirycznych dotyczących wpływu przestrzegania regulacji typu soft law z zakresu corporate governance na wycenę spółki i jej pozostałe wskaźniki finansowe. Szczególną uwagę w ramach niniejszej pracy poświęcono zasadzie comply or explain jako podstawowemu mechanizmowi wdrażania takich regulacji, stąd w rozdziale szóstym zaprezentowano aktualny zakres obowiązków informacyjnych z niej wynikających oraz przeanalizowano charakter odpowiedzialności prawnej za ich naruszenie. W rozdziale czwartym przedstawiono w ogólnym zarysie ewolucję polskich zbiorów dobrych praktyk corporate governance, zaś w rozdziale piątym ewolucję dwóch zagadnień szczegółowych na ich gruncie: instytucji członków niezależnych rad nadzorczych oraz wynagrodzeń menadżerów spółki. W oparciu o całokształt uwag poczynionych w niniejszej pracy, w rozdziale siódmym przedstawiono wnioski de lege ferenda dotyczące polskiego kodeksu dobrych praktyk.
The subject matter of said thesis is the characteristics of the corporate governance beyond - normative regulation, which are the codes of best practice using an example of ‘The Code of Best Practice for WSE Listed Companies’ applicable in Poland. The remarks thereof shall serve to answer the question of real practical significance of such regulations for the issue of corporate governance. The master thesis comprises of 7 chapters. In the first one, the general remarks on phenomena of the notion of corporate governance and its theoretical grounds which is ‘the agency theory’ was made. In the second chapter the demonstrative review of the sources of regulation of corporate governance was performed in order to determine the position among them which is held by the codes of best practice of beyond - normative character. The third chapter presents the definition of codes of best practice as well as elaborates on their functions. Furthermore the analysis of empirical research concerning the influence of compliance with the soft law regulations within the scope of corporate governance on the valuation of the company and other financial rates is introduced. The special attention has been drown in particular to the said thesis to ‘the comply or explain’ rule as the basic mechanism of implementation of such regulations hence the actual scope of information duty has been presented in the sixth chapter. Moreover the character of liability for violation thereof was analysed. In the fourth chapter a general outline on the evolution of Polish codes of best practice of corporate governance was presented, whilst the fifth one focuses on the evolution of the special issues: institution of independent members of Supervisory Board and company’s managers remuneration. On the basis of the entirety of the remarks made in the said thesis the 'de lege ferenda' motions to the Polish code of best practice were presented in the seventh chapter.
