The issuance of bonds in the light of the new Bond Act

Założeniem pracy magisterskiej jest przedstawienie nowych możliwości, wprowadzonych ustawą, dostępnych zarówno dla emitentów w procesie emisji obligacji jak i dla inwestorów. Przepisami obowiązującej ustawy wprowadzono nowe w polskim systemie prawnym instytucje oraz typy obligacji. Opisana nowelizacja ma na celu zaktywizowanie rynku dłużnych papierów wartościowych, pozyskiwanie funduszy przez przedsiębiorstwa w drodze emisji obligacji zamiast zaciągania kredytów bankowych. Do głównych zmian przedstawionych w pracy należy zaliczyć wprowadzenie instytucji zgromadzenia obligatariuszy, funkcji administratora zabezpieczeń oraz obligacji wieczystych i podporządkowanych.

The premis of this master's thesis is to depict the new possibilities introduced by the new Bond Act available to both the issuer and the investor in the issuance process. Currently binding legal provisions introduce new institutions and types of bonds to the Polish legal system. The goal of the aformentioned law revision is to enkindle the debt securities market and the acquisition of funds instead of taking bank loans. The main points which are raised in this thesis are as follows, the introduction of the bondholders assembly, the function of the security administrator as well as the perpetual and subordinated bonds.
