The prior merger control leaded by the President of the Office of Competition and Consumer Protection

Niniejsza praca zajmuje się zagadnieniem prewencyjnej kontroli koncentracji przedsiębiorców dokonywanej przez Prezesa UOKiK. Analizuje zarówno materialnoprawne jak i procesowe aspekty tego zjawiska, jako mającego istotne znaczenie dla ochrony konkurencji, i tym samym, dla rozwoju gospodarki rynkowej. Precyzuje szczegółowo pojęcie koncentracji oraz zagadnienia nierozerwalnie z nim związane m.in pojęcie przedsiębiorcy jako najistotniejszego podmiotu uczestniczącym w tym procesie. W pracy omówione są rodzaje koncentracji objęte obowiązkiem notyfikacyjnym, a także ustawowe wyłączenia spod tego obowiązku. Ponadto analizie została poddana cała procedura przeprowadzania kontroli przez Prezesa UOKiK z uwzględnieniem dwóch alternatywnych sposobów wszczęcia i prowadzenia postępowania oraz możliwych rozstrzygnięć je kończących. Poruszona została również kwestia możliwych sankcji za nieprzestrzeganie przepisów ustawy antymonopolowej.

The topic of this master's thesis is the problem of prior merger control leaded by the Presidend of the Office of Competition and Consumer Protection. This question is important for competition protection and the market economy at the same time. It defines the notion of merger control and others terms connected with it, for example the notion of enterpreneur as the most important participant of the transaction. There are discussed all sorts of transacions which have to be notified to the President and also some legal exclusions from this obligation. Moreover, the whole proceder of the control had been analysed including two alternative ways of setting-up and course of the proceedings and also possible decisions closing it. The issue of possible sanctions for not abiding the antitrust act had been raised too.
