Family foundation as a legal vehicle for succession of corporate enterprises

Przedmiotem pracy jest próba kompleksowego ujęcia prawnohandlwoych aspektów powstania i funkcjonowania fundacji rodzinnych. W zakresie omawianej problematyki mieści się charakterystyka fundacji rodzinnych i wyróżnienie ich na tle innych podmiotów występujących w obrocie prawnym, przedstawienie procesu powstawania fundacji rodzinnej oraz wskazanie ogólnych, ustawowych, zasad łądu korporacyjnego funkcjonujących w fundacji rodzinnej. Poza zakresem pracy znajduje się ujęcie problematyki prawno-podatkowej i rachunkowej wskazanej problematyki. Analiza dokonana została w oparciu o przepisy polskich aktów prawnych oraz ich uzasadnienie, w ograniczonym zakresie opiera się także na metodzie komparatystycznej i historycznej. W pracy podjęto również próbę odniesienia do fundacji rodzinnej dorobku doktryny i orzecznictwa wypracowanego w prawie spółek.

The subject of the thesis is an attempt to provide a comprehensive approach on the legal and commercial aspects of the establishment and performance of family foundations. The scope of the addressed issues includes the profile of family foundations and their distinction from other entities occurring in legal circulation, the presentation of the process of establishment of a family foundation and the indication of general, statutory, principles of corporate governance functioning in a family foundation. Outside the scope of the work is the coverage of tax and accounting issues of the indicated subject matter. The analysis was made on the basis of the provisions of Polish legal acts and their substantiation, and to a limited extent is also based on the comparative and historical method. The work also attempts to relate to the family foundation the doctrinal and jurisprudential developments in corporate law.
