Niniejsza praca poświęcona jest problematyce statusu prawnego członków zarządu w spółce z ograniczoną odpowiedzialnością. Analizie zostały poddane przepisy k.s.h dotyczące statusu prawnego członków zarządu w spółce z o.o. Praca składa się z 5 rozdziałów. Rozdział 1 poświęcony jest podstawowym zagadnieniom teoretycznym dotyczącym charakteru samej spółki z o.o. oraz zarządu jako organu spółki z o.o. Rozdział 2 omawia procedury powołania członków zarządu i zagadania związane z procesem powołania członków zarządu. Zagadnienia rozdziału 3 poświęcone są funkcjonowania członka zarządu i zasygnalizowaniu kwestii, które mogą budzić potencjalne problemy w funkcjonowaniu członka zarządu. Następnie w pracy zawarto rozdział 4, który dotyczy problematyki ustania członkostwa w zarządzie w spółce z ograniczoną odpowiedzialnością. Ostatni rozdział poświęcony jest natomiast niemniej ważnej kwestii odpowiedzialności członków zarządu w spółce z ograniczoną odpowiedzialnością.

This thesis is dedicated to the legal status of a board members in a limited liability company. The analysis covers the provisions of the Commercial Companies Code regarding the legal status of board members in an LLC. The thesis consists of 5 chapters. Chapter 1 is devoted to the basic theoretical issues concerning the nature of the LLC itself and the board as a body of the LLC. Chapter 2 discusses the procedures for appointing board members and issues related to the appointment process. The issues in Chapter 3 focus on the functioning of a board member and highlight potential problems that may arise in their functioning. Subsequently, Chapter 4 addresses the issue of the termination of board membership in a limited liability company. The final chapter is devoted to the equally important issue of the liability of board members in a limited liability company.
