Reduction of the Penalty Clause

Przedmiotem niniejszej pracy jest mechanizm ochrony dłużnika w postaci miarkowania kary umownej. Jako instytucja prawa zobowiązań, miarkowanie kary umownej zostało uregulowane w artykule 484 § 2 Kodeksu cywilnego . Praca skupia się przede wszystkim na zagadnieniach związanych z problemami interpretacyjnymi poszczególnych przepisów i powstającymi w związku z tym różnymi poglądami dotyczącymi stosowania tej instytucji. Celem pracy jest odpowiedzenie na pytania w oparciu o jakie kryteria powinno nastąpić miarkowanie kary umownej, do jakiego stopnia powinna sprowadzić się ta redukcja, a także jaka relacja zachodzi między instytucją miarkowania, a normami ogólnymi Kodeksu cywilnego.

The subject of this thesis is the mechanism of protection of the debtor in the form of reduction of the contractual penalty. As an institution of contract law, reduction of contractual penalties has been regulated in article 484 § 2 of the Polish Civil Code. The paper focuses primarily on issues related to problems of interpretation of particular provisions and different opinions on the application of this institution. The aim of this thesis is to answer the questions on the basis of which criteria the reduction of contractual penalty should take place, to what extent this reduction should come down to, as well as what relation takes place between the institution of reduction and general rules of the Civil Code.
