Niniejsza praca stanowi próbę usystematyzowania środków obrony przed wrogim przejęciem i określenia ram stosowania tych środków przez organy spółki.Praca zawiera opis wybranych mechanizmów obrony przed wrogim przejęciem podzielonych ze względu na ich cel i efekt. Prezentowane mechanizmy obrony na polegające na utrudnieniu odwołania członków zarządu i rady nadzorczej, polegające na ograniczeniu liczby akcji dostępnych w obrocie, polegające na ograniczeniu zbywalności akcji, polegające na modyfikacji kapitału spółki oraz mechanizmy pozakodeksowe (nieprzewidziane przepisami Ksh.)

This master thesis is an attempt to systematize the mechanisms of defense against a hostile takeover and to define the framework of application of these mechanisms by the company.The work contains a description of selected defense mechanisms against hostile takeover divided by their purpose and effect.Presented defense mechanisms are divided due to mechanisms aimed at the rejection of members of the management board and the supervisory board, mechanisms consisting in limiting the number of shares available on the market, mechanisms consisting in limiting the transferability of shares, mechanisms consisting in the modification of the company's capital and other mechanisms.
