Selected legal aspects of prospectus obligation

Niniejsza praca omawia wybrane aspekty prawne obowiązku prospektowego. Analizowane zagadnienia zostały wybrane na podstawie ich kluczowego znaczenia dla procesu ujawniania informacji w ramach reżimu prospektowego oraz z uwagi na ich praktyczne znaczenie. W pracy wyjaśniono ogólne pojęcie obowiązków informacyjnych oraz ratio legis tej instytucji. Korzystając z przykładów rynkowych autor wskazuje na znaczenie obowiązków informacyjnych dla funkcjonowania rynku kapitałowego. Następnie, praca dotyka tematyki obowiązku prospektowego, w szczególności jego zakresu, charakteru, formy oraz treści. W ostatnim rozdziale opisano praktykę spółek debiutujących na GPW dotyczącą stosowania zasad ładu korporacyjnego określoną na podstawie oświadczeń spółek zawartych w prospektach emisyjnych.

The purpose of this paper is the presentation of selected legal aspects of prospectus obligation. The chosen matters were selected based on their key role in the process of information disclosure and their practical meaning. The study describes the general concept of disclosure obligations and ratio legis of this institution. Providing the market examples, the author also presents significance of disclosure obligations for functioning of capital markets. Then, the paper addresses matters with regard to prospectus obligation, in particular, its scope, character, form and content. The last chapter describes practice of newly listed companies on the Warsaw Stock Exchange regarding application of corporate governance rules according to their statements included in prospectuses.
