The asset structure of a simple joint-stock company

W niniejszej pracy została przedstawiona struktura majątkowa prostej spółki akcyjnej, z uwzględnieniem instrumentów, które zdaniem Autora wydają się odgrywać główną rolę w podejmowanym temacie. Przedstawiona została geneza wprowadzenia prostej spółki akcyjnej do polskiego systemu prawa handlowego. Uwzględnione zostały zarówno krytyczne jak i pozytywne głosy przedstawicieli doktryny wypowiadających się na temat funkcjonującej od lipca 2021 r. spółki kapitałowej. Przedstawiono novum w możliwości wnoszenia wkładów w postaci praw niezbywalnych, pracy oraz usług, którym wcześniej odmawiano zdolności do bycia ekwiwalentem w zamian za akcje (udziały) spółki. Zobrazowana została nowa postać akcji bez wartości nominalnej wraz z uprzywilejowaniem akcji w kontekście art. 20 k.s.h. Postacią centralną mianowano kapitał akcyjny przedstawiając nowe rozwiązania nie spotykane dotychczas w kodeksie spółek handlowych, w postaci zwrotów wkładów, czy odejścia od charakterystycznego rozumienia kapitału podstawowego spółki kapitałowej. Zwieńczenie pracy stanowi ukazanie mechanizmów ochrony majątku spółki oraz osób związanych ze spółka, które maja równoważyć elastyczność i swobodę w funkcjonowaniu prostej spółki akcyjnej.

This article presents the asset structure of a simple joint-stock company, taking into account the instruments that, in the Author's opinion, seem to play the main role in the subject under consideration. The genesis of the introduction of the simple joint-stock company to the Polish commercial law system is presented. Both critical and positive voices of representatives of the doctrine expressing their opinions on the joint-stock company in operation since July 2021 are taken into account. A novelty in the possibility of making contributions in the form of non-transferable rights, labour and services, which were previously denied the ability to be equivalent in exchange for shares (stocks) of the company, is presented. The new form of shares without nominal value was illustrated together with the preference of shares in the context of Article 20 of the Code of Commercial Companies. The central form is the share capital, presenting new solutions not previously encountered in the Code of Commercial Partnerships and Companies, in the form of return of contributions or departure from the characteristic understanding of the share capital of a capital company. The work concludes with the presentation of mechanisms for the protection of the company's assets and persons connected with the company, which are to balance the flexibility and freedom of operation of a simple joint-stock company.
