Tezę pracy stanowi “Zastosowanie wybranego instrumentu obronnego ma wpływ na skuteczność obrony przed wrogim przejęciem”. Głównym celem pracy jest próba odpowiedzi na pytanie, od jakich czynników zależy zastosowanie danego instrumentu obronnego, a także co ma wpływ skuteczność wdrożonych barier obronnych przed przejęciem. Dokonana w niniejszej pracy analiza poszczególnych instrumentów obronnych oraz analiza wybranych przypadków wrogich przejęć na polskim rynku kapitałowym pozwala na wysnucie wniosków, dlaczego niektóre przejęcia kończą się sukcesem, a inne nie.
The thesis states "The use of chosen defense instrument has an impact on the effectiveness of the defense against hostile takeover." The main purpose of this work is to determine which factors justify the use of a given defense instrument and what affects the effectiveness of defense barriers implemented against the takeover. The analysis of individual defense instruments and selected cases of hostile takeovers on the Polish capital market allows to conclude why some acquisitions are successful and others are not.
