Analysis of mergers and acquisitions in the banking sector in the context of their impact on the stability of the financial system in Poland

Celem niniejszej pracy jest omówienie znaczenia fuzji i przejęć w sektorze bankowym w kontekście oddziaływania na stabilność systemu finansowego.Praca składa się z trzech części. Rozdział pierwszy przedstawia charakterystykę stabilności systemu finansowego w modelu kontynentalnym. Rozdział drugi dotyczy pojęcia i znaczenia fuzji i przejęć jako narzędzia konsolidacji rynku w sektorze bankowym. Rozdział trzeci prezentuje wyniki badań własnych w zakresie analizy wpływu wybranych fuzji i przejęć banków komercyjnych na stabilność systemu finansowego w Polsce.Praca powstała w oparciu o ilościową i jakościową analizę danych wtórnych. Do celów badawczych wykorzystano dane statystyczne pochodzące z raportów i komunikatów opublikowanych przez organy nadzorcze oraz instytucje bankowe i dokumentów branżowych, dotyczących problematyki fuzji i przejęć w sektorze bankowym w Polsce. W pracy zastosowano także analizę studiów przypadków fuzji Alior Banku z Bankiem BPH, przejęcia Idea Banku przez Pekao S.A. oraz przejęcia Santander Bank Polska przez Erste Group, które miały miejsce na przestrzeni ostatniej dekady.

The aim of this thesis is to analyze mergers and acquisitions in the banking sector in the context of their impact on the stability of the financial system.The entire thesis consists of three parts. Chapter one presents the characteristics of financial system stability in the continental model. Chapter two discusses the concept and importance of mergers and acquisitions as a tool for market consolidation in the banking sector. Chapter three presents the results of the author's own research analyzing the impact of selected mergers and acquisitions of commercial banks on the stability of the financial system in Poland.The thesis was based on quantitative and qualitative analysis of secondary data. For research purposes, statistical data from reports and announcements published by supervisory authorities and banking institutions, as well as industry documents concerning mergers and acquisitions in the Polish banking sector, were used. The paper also relied on case study analysis of the merger of Alior Bank with Bank BPH, the acquisition of Idea Bank by Pekao S.A., and the acquisition of Santander Bank Polska by Erste Group, all of which occurred over the last decade.
