Joint Operating Agreement- the notion, legal character and application in Poland

Praca poświęcona jest tematyce umów o wspólnych operacjach górniczych (Joint Operating Agreement/ JOA). Porozumienia tego rodzaju regulują współpracę przedsiębiorców, którzy chcą wspólnie poszukiwać, rozpoznawać i wydobywać złoża kopalin, a w szczególności węglowodorów. Rozważania skoncentrowano na dominującym w praktyce światowej i polskiej modelu JOA, opartym o wzór przygotowany przez Association of International Petroleum Negotiators i podporządkowanym prawu angielskiemu.Pierwsza część opracowania poświęcona została przedstawieniu podstawowych postanowień każdego Joint Operating Agreement oraz zaprezentowaniu specyficznych cech branży wydobywczej i prowadzonej przez nią działalności. W oparciu o informacje zawarte w części pierwszej pracy, część druga podejmuje próbę dokonania oceny charakteru prawnego Joint Operating Agreements. Część trzecia pracy przedstawia specyficzne dla Polski uwarunkowania publiczno- prawne, które utrudniają stosowanie formy JOA w naszym kraju. W pracy przeplatają się elementy z zakresu prywatnego i publicznego prawa gospodarczego. W ramach tej pierwszej kategorii omawia ona panujące w branży wydobywczej zwyczaje handlowe oraz prezentuje wskazania, co do pożądanego kształtu przygotowywanych przez strony JOA postanowień umownych. Natomiast w zakresie prawa publicznego praca prezentuje postulat bardziej optymalnego, z punktu widzenia światowej praktyki biznesowej, ukształtowania regulacji zawartych w Prawie Górniczym i Geologicznym oraz w praktyce stosowania tego prawa przez organa administracji publicznej.

The work is dedicated to the issue of Joint Operating Agreements (JOA). This kind of agreements is entered into by the enterprises who intend explore and exploit mineral reserves and in particular hydrocarbons. The main focus in the work is on the JOAs based upon the Model Form JOA prepared by the Association of International Petroleum Negotiators and subjected to English law, as this type of JOA is dominant in both polish and global practice. The first part of the work discusses the typical terms of each and every JOA as well as the characteristic features of the Oil and Gas Industry and the activities it carries. On the basis of part one, part two makes an attempt to evaluate the legal character of JOA type agreements. Third part of the work presents the Polish public law environment and the difficulties that it may cause to those using the JOA form in Poland. There is an interplay of private and public law in the dissertation. In so far as the former is concerned the dissertation presents the trade customs specific to oil and gas industry alongside with the guidance as to the desired shape of the JOA terms. As for the latter, the theses present an argument for the modification of the Polish Mining and Geological Law in a manner that would make it more consistent with the global practice.
