Liability of the succession manager for obligations arising in the course of managing an enterprise in succession

Przedmiotem pracy jest odpowiedzialność zarządcy sukcesyjnego za działania podejmowane w ramach zarządu przedsiębiorstwem w spadku, powodujące szkodę w majątku właścicieli tego przedsiębiorstwa, jak i w majątku osób trzecich, ze szczególnym uwzględnieniem jego kontrahentów. Celem pracy jest przede wszystkim ustalenie mechanizmu funkcjonowania zastępstwa sui generis przyjętego w ustawie o zarządzie sukcesyjnym oraz jego wpływu na odpowiedzialność i rozliczenia wynikające z działań zarządcy sukcesyjnego w relacjach z właścicielami przedsiębiorstwa w spadku oraz osobami trzecimi. Analizie poddano również skutki wadliwego powołania zarządcy sukcesyjnego, ze szczególnym naciskiem na status prawny osoby, która miała zostać powołana do pełnienia tej funkcji w ramach nieskutecznej procedury powołania.

The subject of the thesis is the liability of the succession manager for acts undertaken in the course of managing the enterprise in succession, which may cause damage both to the assets of the owners of that enterprise and to the assets of third parties, with particular emphasis on the contracting parties. The primary aim of the thesis is to determine the mechanism of the sui generis form of substitution adopted in the act on succession management and its impact on liability and settlements arising from the acts of the succession manager in his or her relations with the owners of the enterprise in succession and with third parties. The thesis also analyses the consequences of a defective appointment of a succession administrator, with particular emphasis on the legal status of the person who was intended to be appointed to perform this function under an ineffective appointment procedure.
