Zamierzeniem autora tego artykułu jest przedstawienie genezy zasady prawa cywilnego in dubio contra proferentem. Jej źródeł należy poszukiwać w klasycznym prawie rzymskim. Juryści, począwszy od Celsusa, uznawali, że w razie niejasnych postanowień stypulacji, wątpliwości należało rozstrzygać na korzyść promissora. To myślenie o polepszaniu sytuacji prawnej osoby niemającej wpływu na treść kontraktu rozszerzano na kontrakty locatio conductio czy emptio venditio. Zasada ta weszła na stałe do doktryny prawa w okresie obowiązywania ius commune, dzięki czemu przenikała do kodeksów znajdujących się pod wpływem prawa natury - ABGB oraz CC. W początkach XX wieku nie została ujęta w kodyfikacjach np. w BGB. W opinii nauki niemieckiej, a w konsekwencji również polskiej, określano zasadę in dubio contra proferentem jako czysto interpretacyjną, która nie powinna znajdować się w kodeksie. Praktyka prawa pokazała, że prawo powinno regulować zakres jej zastosowania. Autor pragnie również wskazać, na ile źródła rzymskie odpowiadają na pytania zadawane przez współczesną naukę prawa.

The aim of this paper is to present the origins of a civil law rule in dubio contra proferentem. Its foundations are to be found in the classical roman law. The roman jurists acknowledged since Celsus that in case of obscure terms in contract of stipulation any ambiguities should be resolved against the stipulator. This type of thinking, about the improvement of legal situation of the party, which did not have the influence on the terms of contract, had been extended to location conductio or emptio venditio. This rule became obvious and common in the time of medieval ius commune and therefore has been taken into consideration by the authors of ABGB and CC codes, which were written under a huge impact of natural law. The rule in dubio contra proferentem had not been included in codes at the beginning of 20th century - e.g. BGB. The German jurisprudence, and consequently the Polish jurisprudence, rejected it as a pure interpretational rule, which should not be included in the civil code. The legal practice has shown that the law must regulate its scope. The author also desires to indicate, how much the roman law can answer the questions asked by the today's legal science.
