abstract in Polish:	Przedmiotem pracy jest reprezentacja spółki kapitałowej przez pełnomocnika. Zakresem rozważań objęto reprezentację spółki na podstawie pełnomocnictwa materialnego w prawie polskim. Kompleksowej analizie poddano regulacje dotyczące reprezentacji spółki kapitałowej, uwzględniając najistotniejsze problemy jakie stwarza ona w praktyce obrotu gospodarczego. Omówiono reprezentację spółki kapitałowej przez: pełnomocnika ustanowionego na podstawie przepisów kodeksu cywilnego (pełnomocnika cywilnego i prokurenta) oraz pełnomocnika przewidzianego w przepisach art. 210 § 1, 253 § 1, 379 § 1, 426 § 1 k.s.h.. Ze względu na istotne znaczenie praktyczne, szczegółowej analizie poddano problem dopuszczalności udzielenia pełnomocnictwa członkowi zarządu spółki kapitałowej, gdy spółka posiada zarząd wieloosobowy i obowiązuje reprezentacja łączna spółki przez członków jej zarządu.
abstract in English:	The subject of this thesis is the representation of capital company on the basis of substantive power of attorney in the Polish Law. The thesis presents a comprehensive analysis of regulations and the most important practical problems associated with the representation of capital company by proxy. The author discusses the power of attorney on the basis of the Civil Code and art. 210 § 1 ,art. 253 § 1, art.379 § 1 and art. 426 § 1 of the Commercial Companies Code. In Especially, the author analyses the problem of permissibility of the power attorney for member of the management board, when its board has several members and it is representing of company by board members together. This problem is important for business practice.
