Celem pracy jest wszechstronne przedstawienie problematyki obowiązku lojalności wspólników w spółkach osobowych w polskim systemie prawnym. Wyjaśniane są źródła, treść, zakres przedmiotowy i podmiotowy tego obowiązku. Analizowane jest pojęcie interesu oraz celu spółki, jak również ich wpływu na obowiązek lojalności wspólników. Wskazywane są systemowe podstawy wyodrębniania tego obowiązku w ramach prawa cywilnego. Szczegółowo omawiana jest treść przedmiotowego obowiązku w poszczególnych spółkach osobowych, tj. spółce jawnej, spółce partnerskiej, spółce komandytowej i spółce komandytowo-akcyjnej. Opisana została także kwestia udzielenia zgody na działalność konkurencyjną wspólnika oraz sankcje za naruszenie obowiązku lojalności.

The aim of this thesis is the comprehensive analysis of the duty of loyalty in the partnerships in the Polish legal system. The contents include an explanation of the sources as well as the objective and subjective scope of the duty in question. The interest and aim of the partnership are analyzed and so is their influence on the partners`duty of loyalty. The author points out the system foundations for the separation of this duty within civil law. The thesis thoroughly presents the issue of the duty in question in particular partnerships, i.e. registered partnership, professional partnership, limited partnership and limited joint-stock partnership. The thesis describes also the problem of giving the partner consent to conduct the competitive activity as well as the sanctions for infringing the duty of loyalty.
