Instytucja ugody uregulowana jest w rozdziale ósmym k.p.a. Ugoda rozumiana jako pisemne porozumienie między stronami postępowania administracyjnego, może być zawarta przed organem administracyjnym pierwszej lub drugiej instancji, przed którym toczy się dane postępowanie. Ugoda kończy postępowanie (dochodzi do skutku), jeżeli po skontrolowaniu jej prawidłowości jest zatwierdzana przez organ prowadzący to postępowanie administracyjne. Strony mogą wtedy zawrzeć ugodę, jeżeli przemawia za tym charakter sprawy (przede wszystkim musi być sporna) i jeżeli przyczyni się to do uproszczenia i przyspieszenia postępowania, a przepisy prawa nie sprzeciwiają się temu. Zatwierdzona ugoda rodzi takie sama skutki jak decyzja.

The parties may then conclude a settlement, if justified by the nature of the case (mainly to be disputed), and if this will help to simplify and expedite the procedure, and the law does not preclude. The approved settlement raises the same effects as the decision (administrative act).
