Mergers and acquisitions – a case study in the Polish banking sector

Niniejsza praca porusza temat procesów fuzji oraz przejęć, a jej głównym celem jest omówienie procesu połączenia w sektorze bankowym na przykładzie PKO Banku Polskiego oraz Nordea Bank Polska. Podjęcie tego tematu wiąże się z dużym wyzwaniem, ponieważ już na początkowym etapie napotyka się problem przyjęcia odpowiedniej terminologii. W związku z tym podział form połączeń na fuzje i przejęcia bywa poniekąd umowny. Przedstawiono również motywy nabywców i sprzedawców skłaniające do uczestnictwa w tego typu transakcjach. Omówiono także kluczowe czynniki sukcesu oraz przyczyny niepowodzeń procesu fuzji czy przejęć.

This master’s thesis deals with the topic of mergers and acquisitions. The main goal of the thesis is to present and discuss the process of merger in the banking sector, with particular focus on the merger of PKO Bank Polski SA and Nordea Bank Polska SA. It is a challenge to undertake this topic since mentioned transactions are regarded as very complex and complicated. Besides, there is still lack of the use of proper terminology. The thesis presents the motives of buyers and sellers that conduce to participate in these transactions. The thesis also discusses critical success factors and reasons for failure of mergers and acquisitions.
