W niniejszej pracy zostanie dokonane porównanie czynności przelewu wierzytelności w prawie polskim oraz włoskim. Obie instytucje regulowane są na gruncie kodeksów cywilnych. Za punkt wyjścia przyjęta została rodzima regulacja. W pierwszej części pracy kolejno omówione zostały definicja przelewu oraz jego przedmiot, a także związane z nim ograniczenia i zakazy. Rozdział trzeci stanowi natomiast o samej umowie cesji, tj. jej postaciach, formie oraz treści. Na zakończenie tej części omówiony został jeszcze problem kauzalności tej czynności prawnej oraz jej skutki dla cedenta, cesjonariusza oraz dłużnika. W części włoskiej, w miarę możliwości, podjęto próbę omówienia tych samych aspektów, z uwzględnieniem jednakże występujących w sposobie unormowania różnic. Ze względu na brak w tym systemie prawnym czynności abstrakcyjnych zupełnie odmiennie rozumie się pojęcie kauzy. Ponadto, brak w nim umów jedynie rozporządzających. W Codice civile dużo szczegółowiej, aniżeli w Kodeksie cywilnym, uregulowana została natomiast kwestia ponoszenia odpowiedzialności przez cedenta za dokonany przelew. W porównaniu z prawem polskim, ciąży na nim także więcej obowiązków względem cesjonariusza. Na podstawie przeprowadzonej analizy zostało zauważone, że choć oba systemy prawne wywodzą się z prawa rzymskiego i wykazują wiele cech wspólnych, to regulacje dotyczące cesji wierzytelności nie są tożsame. Prócz istniejących niewątpliwie podobieństw, można zauważyć wiele różnić nie tylko w samym sposobie ich unormowania, ale również w pojawiących się w praktyce problemach.

This thesis is a comparison of the assignment under Polish and Italian law. The institution is regulated in both civil codes but the Polish regulation is adopted as a starting point. In the first part the definition of the assignment and its subject matter is discussed, as well as the associated restrictions and prohibitions. The third chapter is refers to the assignment agreement itself, especially its forms and content. At the end of this part the issue of causality is discussed, as well as its consequences for the assignor, the assignee and the debtor. In the Italian part an attempt is made to discuss the same legal aspects, subject to the existing differences in both legal systems. Due to the lack of the abstract legal acts in the Italian system, the concept of causality is understood differently. In addition, it lacks contracts which are merely dispositiving. In the Codice civile the issue of liability of the assignor for the assignment is much more detailed than in the Polish Civil Code. In comparison with the Polish law, on the assignor is imposed more liability towards the other party of the agreement. In the thesis it was noted that although both legal systems derive from Roman law and have many features in common, the regulations concerning the assignment are not identical. Besides the existing similarities, one can see many differences not only in the legal regulation, but also in the legal practice.
