Tematem pracy jest umowne prawo odstąpienia, uregulowane w art. 395 Kodeksu cywilnego. W pracy poruszono kwestie najistotniejsze dla praktyki obrotu gospodarczego - dopuszczalność zastrzegania prawa odstąpienia w poszczególnych rodzajach umów, obowiązkowe elementy klauzuli przewidującej odstąpienie oraz możliwość wprowadzenia prawa odstąpienia uzależnionego od warunku. Szczególny nacisk położony został ponadto na skutki wykonania uprawnienia do odstąpienia. Krytycznej analizie poddano argumenty zwolenników obligacyjnego oraz rzeczowego skutku wykonania prawa odstąpienia. Omówione zostały także inne przewidziane w kodeksie cywilnym rodzaje odstąpienia od umowy. Analiza obejmowała przede wszystkim ustawowe prawo odstąpienia z art. 491 k.c. oraz klauzulę lex commissoria.

The subject matter of the master's thesis is the contractual right of rescission, provided for in Article 395 of the Polish Civil Code. The thesis discusses the most crucial issues from a practical point of view: the admissibility of stipulating the contractual rescission right in various types of contracts, required content of the clause for the right of rescission and admissibility of constituting the contractual rescission right contingent on a condition. Special emphasis has been placed on the consequences of exercising the rescission right. Two basic views in the doctrine have been analyzed: the first one, according to which exercising of rescission rights result in automatic transfer of ownership to the seller and the second one, according to which the rescission creates an obligation of the buyer to transfer the ownership. The thesis discusses also the other types of rescission right provided for in the Polish Civil Code, in particular the statutory rescission right set forth in Article 491 and the clause lex commissoria (Article 491 sentence 1).
