Celem niniejszej pracy jest analiza gwarancji bankowej, która jest powszechnie stosowanym sposobem zabezpieczenia należytego wykonania umów o roboty budowlane. Największą zaletą gwarancji jest to, że w przypadku niewykonania lub nienależytego wykonania umowy uprawniony otrzymuje należną mu kwotę praktycznie natychmiast – bez konieczności prowadzenia długiego i kosztownego procesu sądowego. Jakkolwiek, zdarzają się przypadki, w których beneficjent występuje z żądaniem zapłaty sumy gwarancyjnej, mimo iż zobowiązanie ze stosunku podstawowego nie istnieje czy też zostało wykonane. Analiza dotyczy kwestii możliwości oraz podstaw prawnych podniesienia przez gwaranta zarzutów wskutek wadliwego żądania zapłaty.

The purpose of this thesis is to analyse bank guarantee, which is commonly used as a way to secure proper performance of construction works contracts. The key advantage of the guarantee is that in the event of non-performance or improper performance of the contract, the party entitled under the guarantee receives the amount due virtually immediately, without the need for lengthy and costly court proceedings. However, there are cases in which the beneficiary demands payment of the guaranteed sum even if the obligation arising from the prime legal relationship does not exist or has been completed successfully. The analysis is concerned with the issue whether, and on what legal basis, the guarantor is entitled to file an objection against a defective demand.
