Celem tej pracy jest przeprowadzenie analizy umowy deweloperskiej w kontekście nowych przepisów ustawy o ochronie praw nabywcy lokalu mieszkalnego lub domu jednorodzinnego. Opracowanie zostało podzielone na sześć rozdziałów poprzedzonych krótkim wstępem do przedmiotowej tematyki.Pierwszy rozdział dotyczy zakresu stosowania norm ustawy o ochronie praw nabywcy lokalu mieszkalnego lub domu jednorodzinnego. W poszczególnych podpunktach omówione zostały podmioty oraz przedmiot umowy deweloperskiej. Poruszona została również kwestia norm temporalnych ustawy o ochronie praw nabywcy lokalu mieszkalnego lub domu jednorodzinnego. Drugi rozdział traktuje o treści stosunku zobowiązaniowego, wynikającego z umowy deweloperskiej. Omówione zostały zarówno podstawowe jak również dodatkowe obowiązki stron umowy. Analizie poddany został również problem elementów umowy deweloperskiej. W tym rozdziale wyróżnione zostały elementy konstytutywnych umowy oraz te, które ustawodawca uznał jedynie za pożądane. W trzecim rozdziale opracowany został charakter prawny umowy deweloperskiej. W poszczególnych podpunktach umowa deweloperska określana została jako umowa: nazwana, dwustronnie zobowiązująca, wzajemna, odpłatna, konsensualna, przysparzająca kauzalna oraz co do zasady konsumencka. W rozdziale tym rozważony został również problem relacji umowy deweloperskiej z innymi typami umów, znanych w polskim systemie prawa cywilnego. Czwarty rozdział porusza zagadnienie formy umowy deweloperskiej oraz ujawnianie roszczeń nabywcy w księdze wieczystej. Dodatkowo omówiony został podział kosztów związanych z powyższymi czynnościami. Piąty rozdział dotyczy tematyki wygaśnięcia węzła obligacyjnego między stronami umowy. Po kolei omówione zostało wykonanie umowy deweloperskiej, odstąpienie od niej oraz jej rozwiązanie. W ostatnim rozdziale całościowej ocenie poddana została ustawa o ochronie praw nabywcy lokalu mieszkalnego lub domu jednorodzinnego oraz wysunięte zostały postulaty de lege ferenda.
The purpose of this paper is to analyse a property development contract in the context of new regulations of the act on protection of rights of the buyer of a dwelling or a detached house. The study was divided into six chapters preceded by a brief introduction to the subject.The first chapter concerns the scope of application of the provisions of the act on protection of the buyer of a dwelling or a detached house. Separate sub-items discuss the subject and the objects of a property development contract. Also discussed is the issue of temporal norms of the act. The second chapter deals with the contents of a contractual relationship arising from a development contract. Both the basic and supplemental obligations of parties of such contracts are discussed. The elements of a development contract were also analysed, distinguishing constitutive ones from those considered desirable by the legislator. The third chapter of the paper brings the determination of a legal nature of a development contract. Individual sub-items describe a property development contract as: named, mutually binding, reciprocal, paid, consensual, gainful, causal and consumer in principle. The chapter has also tackled the problem of the relation of a property development contract with other types of contracts, known in the Polish civil law. The fourth chapter addresses the issue of a development contract forms, and disclosure of customer claims in the land register. Additionally a break out of costs associated with these activities is given. The fifth chapter deals with the expiry of a contractual tie between parties of a property contract. Discussed here are the performance of a contract, withdrawal from and termination of a contract. The last chapter brings a comprehensive assessment of the act on protection of the buyer of a dwelling or a detached house and a list of demands applying to the lex ferenda is given.
