Niniejsza praca stanowi prawno-porównawczą analizę zasad oraz instytucji ładu korporacyjnego w spółkach publicznych w Wielkiej Brytanii oraz Stanach Zjednoczonych z perspektywy menedżerskiej. Rozpoczyna się od teoretycznej refleksji nad źródłami i genezą regulacji, problemów agencyjnych oraz roli mechanizmów rynkowych i prawnych. Następnie koncentruje się na kwestii natury spółki publicznej, rady dyrektorów i interesu spółki. Omawiane są również techniki legislacyjne w zakresie optymalnego ukształtowania systemu ładu korporacyjnego oraz wpływ otoczenia instytucjonalnego na jego praktyczną skuteczność. Powyższe uwagi teoretyczne uzupełnione są następnie szczegółową analizą regulacji obowiązujących w omawianych jurysdykcjach w zakresie obowiązków menedżerskich (w szczególności obowiązku lojalności, obowiązku staranności, transakcji z podmiotami powiązanymi oraz okazji korporacyjnych). Praca zakończona jest zwięzłym porównaniem systemowym z perspektywy maksymalizacji efektywności i rozwoju spółek operujących w globalnej ekonomii oraz rynku kapitałowego.

The purpose of the dissertation is to analyze and compare corporate governance systems in the United Kingdom and the United States. The focal point of the analysis are directors. Firstly, general remarks on the theoretical justifications for regulation (with particular regard to economic agency problems and market-based mechanisms of control) and the relevance of law are made. The aforementioned comments are subsequently followed by a discussion of the nature of the public company, role of the board of directors and theories of corporate interest. Nevertheless, various legislative techniques deployed to optimize the overall efficiency of corporate governance systems and the influence of institutional environment are described. The theoretical comments are then supplemented by an in-depth insight into the contemporary legal regimes of the UK and US respectively. Emphasis is put preeminently on director duties (duty of loyalty, duty of care, as well as the doctrines of self dealing and corporate opportunities). Finally, the systems are juxtaposed as regards their efficacy in providing a legal framework for modern global companies and capital markets.
